Webflow Sandbox Terms of Use
These Sandbox Terms of Use (“Sandbox Terms” or “Terms”) govern your access to and use of any sandbox environments, entitlements, features, SKUs, or related offerings (collectively, “Sandbox Environment(s)”) made available to you by Webflow, Inc. (“Webflow”).
By accessing or using any Sandbox Environment, you (“Customer” or “you”) agree to be bound by these Sandbox Terms, which supplement and are hereby incorporated by reference into your applicable subscription agreement with Webflow, whether that is Webflow’s Terms of Service or a Master Subscription Agreement or related agreement between the parties (in either case, together with these Sandbox Terms, the “Agreement”). If you do not have a separate written agreement with Webflow, these Sandbox Terms solely govern your access. In the event of any conflict or inconsistency between these Sandbox Terms and any other term of the Agreement, these Sandbox Terms will apply and govern your use of any Sandbox Environment.
1. PERMITTED USE
Notwithstanding any other term of the Agreement, you may only access and use Sandbox Environments exclusively for internal testing, development, staging, or similar evaluation purposes, including pre-sales evaluation (collectively, “Permitted Uses”).
For the avoidance of doubt, you may not use any Sandbox Environment for the following purposes (collectively, “Prohibited Uses”): (i) in a production, commercial, revenue-generating, or downstream customer-facing capacity; (ii) with custom domains, reverse proxies, or site transfers; (iii) for resale, sublicensing, or distribution to third parties; (iv) transferring or publishing sites to production; or (v) for any other commercial or public use unless expressly approved by Webflow in writing.
2. FEES
The fees and payment terms for your Sandbox access will be set forth in the applicable Order Form and are contingent on your compliance with these Terms. If Webflow determines that you have used the Sandbox Environment for any Prohibited Use(s), Webflow in its discretion may (1) terminate this Agreement and immediately suspend and revoke your Sandbox Access without penalty or refund; and/or (2) bill you at the then-current rates for the applicable uses.
You acknowledge and agree (1) that Webflow may monitor and audit your use of any Sandbox Environment to verify your compliance with these Terms; and (2) to cooperate with any reasonable audit request and take prompt corrective action as may determined by Webflow.
3. NO WARRANTIES; LIMITATION OF LIABILITY
Notwithstanding any other term of the Agreement, you acknowledge and agree that (1) the Sandbox Environments and all related Webflow products, services, components, and information are provided “as is” and “as available” without warranties of any kind; and (2) Sandbox Environments may include incomplete, experimental, or non-generally available features that are subject to bugs, errors, disruptions, or performance issues; (3) Webflow expressly disclaims all warranties, conditions, or representations, whether express, implied, statutory, or otherwise, including merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted availability; (4) to the fullest extent permitted by law, Webflow will not be liable for any claims, damages, losses, or expenses related to your use of any Sandbox Environment beyond the amount that you have paid Webflow for access to the Sandbox Environment; and (5) in no event shall Webflow be liable to you for any indirect, incidental, consequential, or special damages related to your use of a Sandbox Environment.
4. TERMINATION AND CHANGES
In its discretion, Webflow may (1) modify, suspend, or terminate any Sandbox Environment or these Terms at any time, for any reason, without notice; and (2) suspend or revoke your access to any Sandbox Environment immediately if we reasonably believe you have breached of these Terms.
5. CONFIDENTIALITY
You agree to maintain the confidentiality of and not disclose to any third party: (a) any of these Sandbox Terms; (b) any non-public information disclosed by Webflow; and (c) any performance data, feedback, or other information obtained through your use of the Sandbox Environments.
6. THIRD-PARTY PRODUCTS
You acknowledge and agree that if you use any third-party apps, add-ons, integrations, or other related products or services to interoperate with the Sandbox Environments ("Third-Party Products"), you do so at your own risk. For clarity, your use of any Third-Party Product is subject to your agreement with the applicable third-party provider and is not governed by these Sandbox Terms. Webflow does not endorse, is not responsible for, and makes no representations regarding any Third-Party Products, including their security, reliability, or data handling practices. By enabling a Third-Party Product, you expressly consent to Webflow sharing your applicable data with the applicable provider as necessary.
7. MISCELLANEOUS
These Sandbox Terms will be governed by the laws of the state of California without reference to conflict of law principles. All disputes arising out of or related to these Terms will be subject to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California. Neither party may assign these Sandbox Terms without the prior written consent of the other party. These Sandbox Terms constitute the complete and exclusive understanding and agreement between the parties regarding its subject matter and supersedes any and all prior and contemporaneous agreements, proposals, or representations, whether written or oral, concerning its subject matter.
